Product Use and Restrictions

Unless otherwise expressly stated in writing by Zen-Bioscience, (i) Purchaser may not use Products for Commercial Purposes; and (ii) all Products are for research use only, and not for human or animal therapeutic or diagnostic use. “Commercial Purposes” means any activity by a party for consideration and may include, but is not limited to: (1) use of Products or their components to provide a service, information, or data; (2) use of the Products or their components for therapeutic, diagnostic or prophylactic purposes; or (3) resale of the Products or their components, whether or not such Products or their components are resold for use in research.

Products are to be used only in accordance with instructions accompanying delivery of the Product. Purchaser is solely responsible for complying with all applicable laws, regulations and governmental policies when using Zen-Bioscience Products. It is solely Purchaser’s responsibility to make sure the Products are suitable for Purchaser’s particular use.

Zen-Bioscience and its authorized distributors reserve the right to refuse to process any order where we reasonably believe that the intended use will fall outside of our acceptable guidelines.

Orders

For telephone, fax and e-mail orders, please provide the following information:

1. Institution or customer account number

2. Shipping address

3. Billing address Warning:  Orders must be delivered and invoiced in the same country

4. Purchase order number

5. Name of end user

6. Telephone of end user

7. Name of purchasing agent

8. Quantity, catalog number, and the description of the product

9. For Visa, MasterCard , American Express and Discover orders, please provide card type, name on the card, card number and expiration date.

Pricing and Taxes

We reserve the right to delete or change specifications, including price, at any time without notice. For the most up-to-date pricing information for any product, please visit www.zen-bioscience.com, contact Customer Service, or contact your local distributor. Unless specified, written price quotes are firm for purchase orders received within 30 days.  

All taxes, duties, levies and similar expenses which are or become due in connection with an order with the exception of any taxes on zen-bioscience’s profits are for the account of the purchaser.

Payment

Payment terms are net 30 days from the invoice date. A 2.0% finance charge will be added to past due invoices. Pre-payments may be required for initial orders with completion of credit application. For bulk and custom orders, a non-refundable deposit may be required.

Quotations & discounts

Please inquire for a quotation. Discounts are available for large quantities or bulk orders. Please contact us for more information. Quotes may only be used once and are valid for 30 days.

Delivery and acceptance

Zen-bioscience will use its reasonable commercial efforts to fulfil purchaser’s orders pursuant to any agreement for the supply of products.

Purchaser may revoke acceptance of any shipment of products or services which are not in compliance with the specifications as provided set out in the order or accepted quotation within thirty (30) days from the date of delivery.

Warranty

Zen-bioscience warrants that the products sold shall conform in all material aspects to the specifications of Zen-bioscience, as provided in the relevant quotation, or on Zen-bioscience’s website or in other literature provided byZen-bioscience; provided, however, that the products have been stored under the prescribed conditions during such warranty period.

Zen-bioscience’s sole liability shall be limited to, at our option, replacement of material(s) that does not meet our specification or refund of the purchase price. By acceptance of the product, the buyer indemnifies and holds Zen-bioscience harmless against, and assumes all liability for any direct, incidental, special or consequential loss, damage or expense directly or indirectly arising from the use of the product, even if Zen-bioscience knew of the possibility of such loss, damage or expense.

Limited Use Right & Intellectual Property

Products sold by Zen-bioscience are only available for an internal, non-profit research use and are not intended for therapeutic, prophylactic or diagnostic use in humans or animals. Purchase does not include any other right or license to use, develop or otherwise exploit our products. Any use of Zen-bioscience products outside of the Authorized Uses requires additional rights from Zen-bioscience.

Zen-bioscience products contain in-house proprietary constructs and proprietary technologies on which we retain full ownership and intellectual property rights.
